1. About these terms

These Terms of Service govern the relationship between QuadNine Ltd (“QuadNine”, “we”, “us”) and any individual or business (“you”, “client”) that uses our website or purchases our services. By using our website or engaging our services, you accept these terms.

2. Our services

QuadNine provides monthly subscription-based digital services including managed WordPress hosting, search engine optimisation, content creation, website design, workflow automation, custom WordPress plugins, AI chatbot deployment, brand guidelines, and bespoke software development.

The specific services, deliverables, and pricing applicable to your subscription are those published on our website at the time of purchase, unless otherwise agreed in writing.

3. Subscriptions and payment

• Services are provided on a rolling monthly subscription basis, billed in advance.
• Prices are listed in EUR and are inclusive of any applicable taxes unless stated otherwise.
• Payment is due within 14 days of invoice. Late payment may result in suspension of services.
• We reserve the right to adjust pricing with 30 days’ notice. You may cancel before the new pricing takes effect.

4. Cancellation

You may cancel your subscription at any time by contacting us at info@quadnine.mt. Cancellations take effect at the end of the current billing period. We do not offer pro-rata refunds for partial months, except where required by law.

QuadNine may terminate services with 30 days’ notice, or immediately in cases of non-payment, breach of these terms, or illegal use.

5. Your responsibilities

You agree to:

• Provide accurate information when engaging our services.
• Ensure you have the rights to any content, images, or materials you provide to us.
• Use our services only for lawful purposes and in compliance with applicable laws.
• Not use our hosting infrastructure for spam, malware distribution, or illegal content.
• Keep your login credentials secure and notify us immediately of any unauthorised access.

6. Intellectual property

Work product created by QuadNine specifically for you (such as written content, custom code, and design assets) becomes your property upon full payment. Our pre-existing tools, frameworks, and methodologies remain our intellectual property. We may use your project as a portfolio example unless you request otherwise in writing.

7. Uptime and service levels

For managed hosting, we target 99.9% uptime measured monthly, excluding scheduled maintenance windows. Downtime caused by factors outside our control (force majeure, upstream provider outages, DDoS attacks) is excluded from uptime calculations. We do not provide financial compensation for downtime unless agreed in a separate service level agreement.

8. Limitation of liability

To the maximum extent permitted by Maltese law, QuadNine’s liability for any claim arising from our services is limited to the fees paid by you in the three months preceding the claim. We are not liable for indirect, incidental, or consequential losses including loss of revenue, data, or business opportunity.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, or for fraud.

9. Confidentiality

Both parties agree to keep confidential any non-public information shared in the course of the service relationship, and not to disclose it to third parties without prior written consent, except where required by law.

10. Governing law

These terms are governed by the laws of Malta. Any disputes shall be subject to the exclusive jurisdiction of the Maltese courts. For clients in other EU member states, mandatory consumer protection rights under your local law are not affected.

11. Changes to these terms

We may update these terms from time to time. We will notify active clients by email at least 30 days before material changes take effect. Continued use of our services after that date constitutes acceptance of the revised terms.
